Women off-Road Riders 

Article 1 – Name

  1. The name of this organization is Women Off-Road Riders (hereafter referred to as WORR and or Club)

Article II – Purpose

  1. The specific purpose of this organization shall be to promote and support the love of riding and racing two wheeled off-road motorcycles for women in the Northern California area.

  2. To organize Club events, a charitable annual event and support up and coming young women riders.

Article III – Membership

Membership fee of $50, subject to change, is due at the time of sign up of your membership. All subsequent year’s membership fee is $50 and is due later than February 15th of each year. Dues not received within 30 days of expiration of membership will result in a non-membership status. Each membership includes a member swag, membership card, Club stickers and access to the local sponsor discounts. Should you join WORR after October 1st your next year’s dues are waived.

  1. Charter Membership – Any member that joined the Club on or before May 31, 2021 and paid their membership fee. Annual swag will include “Charter Member'' on the logo. To maintain your Charter Member status you must attend at least one WORR event, one meeting per quarter, sign up to volunteer at one of the WORR events or plan a ride day and host and be current on your dues.

  2. Regular Membership – Any member that joined the Club after May 31, 2021 or a registered member that paid their membership fee after May 31, 2021. To maintain your membership status you must attend at least one WORR event, one meeting per quarter, sign up to volunteer at one of the WORR events or plan a ride day and host and be current on your dues.

  3. Junior Members- Any member that is under the age of 15 will not be required to pay a membership fee if they are signed up with an accompanying adult paying membership. Free Junior Membership does not include swag, swag items can be purchased at the club rate.

Article IV – Meetings

  1. Regular general meetings will be held every month unless an event is being planned and additional meetings are required. All meetings are to have an online link to allow all members to join.  There will not be a meeting in July or December of each year unless the board determines it is needed for an event situation. 

  2. All meeting notices will be communicated to members through the email provided to WORR.

  3. Once an event is scheduled and committee members are announced they are to hold separate meetings and provide updates at the general meeting.

Article V – Voting

  1. All members (Charter and regular) have a vote.  

  2. All major decisions will be determined by the majority vote of the officers and committee coordinators. Major decisions include, but not limited to, Club events, charitable events, young rider support, and apparel/swag. Major decisions will not include the election of officers. The process for the election of officers is outlined in Section VII.

  3. All non-major decisions will be determined by the majority vote of all members that are attending the meeting.

  4. All member votes will be submitted via Google Forms provided by the Board or Committee

Article VI – Order of Business

  1. The order of the general meetings shall be established by the President or Vice President, in the President’s absence.  An agenda shall be distributed to each member prior to the event or at the event.  Any additions can be added to the agenda at that time under New Business.

  2. At each general meeting the following items must be placed on the agenda:

    1. Report from the President and committee coordinators

    2. Financial report

    3. Action items to be put to a vote

    4. New business for discussion

Article VII – Officers

  1. There shall be the following official officer positions on the board: President, Vice-President (VP), Secretary, Treasurer and Event Calendar Coordinator. Each of these positions shall be held for 2 years and may be re-elected if no other candidate comes forward. The position of Vice-President need not be filled if no candidate is available. President and Secretary will be voted on in the Odd years and Vice-president, Treasurer and Event Calendar Coordinate will be voted on in the even years.  All committee positions shall be 1-year term.

  2. Elections

    1. The President , Vice-President, Secretary, Treasurer and Event Calendar Coordinator will be elected

    2. Elections shall take place in November of election year for the following term to start in January.

    3. Nominations for open officer positions will take place at an in person meeting in October of each election year.  An individual may nominate herself for office and or be nominated by another member.

    4. If only one person is nominated for an office position, there shall be no ballots cast for that office position and that nominated individual shall serve in the officer position for which she is nominated.

    5. A secret ballot will be sent for casting to be made anonymously before the November meeting of each election year.

    6. Ballots shall be counted by the Secretary from the prior term, unless she is seeking office for the current term.  In such a case, an officer from the prior term who is not seeking reelection shall count the ballots and determine the officers for the following year. 

  3. Officers shall serve for the period of the WORR calendar year, January to December.

  4. Responsibilities

    1. President:

      1. Planning and conducting general meetings of the Club

      2. Soliciting membership in the Club and serve on committees

      3. Overseeing the activities of each of the committees

      4. Assisting the committee coordinators in locating needed resources

      5. Serving as a liaison with outside leaders and Clubs

      6. Communicating to all members

  5. Vice-President:

    1. The VP shall assist the President in fulfilling her responsibilities as needed.  

    2. Serve on at least one committee

    3. Handle all committee / member complaints

    4. Serve as the organizer of the nomination committee, unless running for re-election and then that will become the responsibility of the President

  6. Secretary: 

    1. Taking the minutes at each general meeting

    2. Preparing the minutes of the general meeting, send to officers for any correction and approval at the following meeting

    3. Maintain the minutes from all previous general meetings

    4. Counting the ballots for the election of officers the following term pursuant to Article VI(B)(f)

  7. Treasurer:

    1. Maintaining the accounts of the Club

    2. Provide updates at the general meeting on the activity on the accounts

    3. Assist officers and committee coordinators with payment of all invoices

    4. Assist officers and committee coordinators with processing of all monies received for the Club

  8. Event Calendar Coordinator:

    1. Maintain the Calendar of event for the Club

    2. Post the Calendar each month on the website

    3. Communicate with the lead event person for each event to ensure all necessary tasks are being taken care of.

    4. Provide a monthly report at the meetings of upcoming events and needs

  9. Removal of an Officer

    1. Officers may be removed for the following reasons, but is not limited to:

      1. Any officer who fails to attend two consecutive general meetings with the officers and other committee coordinators without sending a representative to act on her behalf shall be automatically removed from her position.

      2. Any officer may be removed for cause by a two-third majority vote of the officers and committee coordinators. “Cause” shall include, but is not limited to, any form of prejudice or exclusion of a member or any reason, failing to uphold their responsibilities after two forms of communication on the matter or any form of embezzlement.

      3. If members have requested removal of an officer, said officer will be allowed to provide a statement at a special member meeting prior to vote 

      1. Should an officer be removed mid-term, the remaining officers shall appoint a replacement at the earliest possible time, subject to approval by a majority of the committee coordinators.

  10. No officer or committee coordinator shall be compensated for her services to the Club.

Article VIII – Committees

Standing and ad hoc planning committees may be created upon the suggestion of any officer or committee coordinator, with the agreement of the majority of officers and committee coordinators

  1. Committee coordinators that shall be a one-year term are: Motorcycle Committee Liaison(s), Event Lead, Apparel/Swag, Industry Relations, Social Media/Webmaster

    1. Motorcycle committee liaison(s)

      1. Attend all monthly meetings and send reports back to WORR email to include in monthly emails. If you are not able to attend you need to send a representative for WORR in your place.

    2. Event Lead (one for each large event)

      1. Responsible for securing a venue for the event (if needed), coordinating with other volunteers for food, activities, swag bag, raffle, and promotion of the event. 

      2. Work with Social Media/Webmaster to create event registration form

      3. Communicate with President to have registration sent to all members

    3. Apparel/Swag 

      1. Responsible for the inventory and distribution of the Club apparel/swag for member and online purchases

      2. Work with Event Leads for any apparel/swag needed for events and swag bags

    4. Industry Relations 

      1. Responsible for making connections with industry companies to obtain discounts and promotional items for the Club.

      2. Obtain the company’s logo and communicate with officers, Social Media/Webmaster and Event Leads

    5. Social media / Webmaster

      1. Create content for Instagram and Facebook 

      2. Post on a regular basis

      3. Maintain a website and online store, once created.

      4. Work with officers and committee coordinators on upcoming events to create posts 

  2. Serving on a committee(s)

    1. Any member of WORR may volunteer to serve on any committee(s) she can fully commit to.

    2.  All committee members must communicate with their committee coordinator with any updates and/or changes pertaining to their role on the committee.

    3. Should any member feel that they are not being heard, offended or excluded from any committee they are to direct their concerns to the Vice-President

  3. Terms of service on an event committee as a member shall be for the commencement of the event to the conclusion of the event.

  4. Removal of committee coordinator

    1. Committee coordinators may be removed for the following reasons, but is not limited to:

      1. Any committee coordinators who fails to attend two consecutive general meetings with the officers and other committee coordinators without sending a representative to act on her behalf shall be automatically removed from her position.

Article IX – Records and Reports

  1. Financial records shall be kept in the regular course of business and accurately maintained by the Treasurer as well as on the WORR Google Drive.  At the conclusion of her term, the financial records shall be provided to the incoming Treasurer.

    1. Any and all financial records of the Club shall be made available for inspection by the Treasurer to any other officer, at any time.  Financial records include, but are not limited to, any working papers, receipts, journals, notebooks, check registers, cancelled checks, invoices, audit statements, contracts, or any other financial or working document related to or setting forth information about the financial interests of the Club, whether created by the Treasurer or by any other WORR officer or committee coordinator or third party.  The financial records of the Club shall be the property of WORR and shall not be the personal property of the Treasurer.

    2. All financial records written, or verbal shall be kept confidential amongst officers and members of WORR and shall not be shared or published outside of the Club.

    3.  Should the Treasurer be terminated from office prior to the end of her term, she shall immediately turn over the financial records to the President; or to another officer upon a two-thirds majority vote of the officers and committee coordinators.

      1. Upon removal of the President and or Treasurer, her name shall be removed from the Club checking account and all financial online account access.

  2. Minutes shall be taken by the Secretary at each general meeting.  An official record of all approved minutes shall be maintained by the Secretary as well as on the WORR google drive.  At the conclusion of her term, she shall pass them on to the incoming Secretary.

  3. Inspection of records

    1. Any individual or entity may file a written request to the President to inspect the records

    2. Within ten days of receipt of the request, the President shall make the records available for the inspection at a location agreed to by the President and the person or entity making the request.

Article X – Amendments

Should the Bylaws of Women Off-Road Riders need to be amended, any proposed amendment shall be made at a general meeting of the members.  The proposed amendment must be open for discussion prior to any vote and a vote may not be had until the meeting after the amendment was proposed.  The Bylaws of the Women Off-Road Riders may be amended by a two-thirds affirmative vote of the members of the Club.
